Hapeville Charter School Foundation Board
The Foundation Board is named Georgia Magnet/Charter Schools Foundation, Corp. (GMCSF) and is composed of the CEO, the CFO and the Secretary. Hapeville Charter School maintains a board that is voluntary and does not receive payment for services as board members.
The Secretary position is open for the 2019 – 2020 School Year. The Executive Director is searching for a Business Partner to fill the position. The Secretary position is for five years, from school year 2019-2020 through school year 2023-2024.
Responsibilities of the Secretary
The Secretary shall: (a) keep and maintain, or designate someone to keep and maintain, the minutes of the proceedings of the Board in either one or more books provided for that purpose or, at a minimum, accessible on the school websites for review; (b) authenticate records of the corporation; (c) see that all notices are duly given in accordance with the provisions of these Bylaws or as required by law; (d) be custodian of the corporate records and of the seal of the corporation and see that the seal of the corporation is affixed to all documents, the execution of which on behalf of GMCSF under its seal is duly authorized; (e) keep a register of the mailing address of each member which shall be furnished to the Secretary by the Executive Director; and (f) in general perform all duties incident to the office of Secretary and such other duties as from time to time may be assigned to him/her by the CEO or the CFO.
